Decennial Report:
Some of our clients have been receiving notices from the PA Department of State re: the required Decennial Report for 2021.
This is a legal form associated with your business registration, therefore it is not something we prepare in the normal course of tax preparation services. However, since we have clients asking about this requirement, I thought I would share some insight here.
It seems that if this form is not filed by the end of 2021 - you will lose exclusive rights to your company name. It applies to domestic as well as foreign businesses registered to do business in PA. ("Foreign" in this case relates to any company organized outside of PA). It applies to Corporations, S Corporations, Partnerships, Non-profits, LLC's and LLP's who have not made a filing with the Department of State since Jan 1, 2012. This does NOT apply to Fictitious name registrations.
The form along with instructions can be found here:
Note there is a $70 filing fee that must be sent in with the form.
I'm sure many of you may feel comfortable preparing and filing the report on your own, however if you have any questions, please let us know - we will do our best to point you in the right direction or you may wish to seek the advice of your attorney. Unfortunately we are not able to complete and file the form for you.
Note this is for informational purposes only - not intended as legal advice.
